Draft terms for business customers.
These draft terms explain the intended commercial structure for business customers. They do not become the binding terms until the contracting entity, governing law, liability, and legal review are complete and a customer accepts the approved version.
1. Business and professional use
Allocyn is offered to organizations for business and professional use, not to consumers. A person accepting an order or these terms confirms authority to bind the organization identified in the order.
2. Operator and agreement
Your order identifies the service provider, plan, price, subscription period, and any additional agreed documents. The full Innovative Logix contracting-entity details are still being confirmed, so these draft terms are not yet effective.
3. Accounts and responsibilities
Customers must provide accurate information, protect credentials, manage authorized users and permissions, and promptly report suspected unauthorized access. Each person must use their own account.
4. Trial terms
The standard company trial lasts 14 days, requires an eligible work email, and does not require a payment card. Trial access is for evaluation, may have limits, and does not automatically become a paid subscription without a separate purchase step.
5. Subscription, renewal, and billing
The order states the subscription period, renewal method, payment frequency, due dates, and billing route. No renewal or charge should be inferred beyond the accepted order and checkout confirmation.
6. Prices and taxes
Prices are shown in the currency for your country and exclude VAT unless stated otherwise. Provide your correct legal company name, billing address, country, and tax identifier. VAT and reverse-charge arrangements are still under review. Contact us to confirm the taxes that apply to your purchase.
7. Package limits
Plans may limit active people, storage, AI use, reports, integrations, support, or other stated functions. Current limits appear before purchase. You can only check out when current prices and limits are available.
8. Cancellation and downgrade
A customer may cancel using the available subscription controls or contact route. Unless an order says otherwise, access continues through the paid period and renewal stops at the effective cancellation date. A downgrade may take effect at renewal and can reduce available functions or limits.
9. Suspension
Access may be restricted for a material security risk, illegal use, serious policy breach, overdue payment, or legal requirement, using proportionate notice where circumstances allow.
10. Customer data ownership and instructions
The customer retains its rights in customer data and authorizes processing needed to provide the service. The customer is responsible for having authority to upload, connect, instruct processing of, and grant access to that information.
11. Permitted use
Users must follow the Acceptable Use Policy, documentation, agreed limits, and applicable law. The service must not be used for covert employee monitoring or unlawful employment decisions.
12. Confidentiality
Each party must protect confidential information with reasonable care, use it only for the agreement, and disclose it only to authorized people or as legally required. Detailed obligations remain subject to legal review.
13. Intellectual property and feedback
Innovative Logix and its licensors retain rights in Allocyn, its design, software, documentation, and service materials. Customers retain their data. Feedback may be used to improve the service without transferring customer confidential information.
14. Third-party services and integrations
A customer chooses and authorizes connected services. Provider availability, terms, data handling, mappings, and synchronization scope can differ. Allocyn does not promise universal two-way synchronization or responsibility for a third-party service outside its control.
15. AI output and human review
AI output may be incomplete, inaccurate, or unsuitable for a decision. AI-generated content is assistance that an authorized person must review. Customers must not use Allocyn AI for prohibited automated employment or other unlawful decisions.
16. Service changes and support
Allocyn may improve, replace, or retire functions while considering material customer impact. Available support routes and any package-specific response terms are stated in the order or current package information. No unstated service-level commitment is created.
17. Warranties and disclaimers
Warranty, disclaimer, liability, and indemnity terms are still under legal review. This draft does not yet set those terms.
18. Termination
The agreement may end through cancellation, expiry, material breach, insolvency, or another ground stated in the accepted order. Proportionate notice and cure provisions, where applicable, must be confirmed in the legally approved version.
19. Data export and deletion
Authorized users can request supported exports before the workspace is removed. Export scope is currently limited to documented record types. After a recovery period, permanent deletion is a controlled administrator process; it is not represented as immediate automatic deletion. Required legal, billing, security, and backup records may follow separate periods.
20. Governing law and disputes
The governing law, courts, dispute process, liability limits, and indemnities are still under legal review. This draft does not select a jurisdiction.
21. Changes and contact
The effective terms will display a version and date. Material changes will use the notice required by the agreement and applicable law. Use the contact route for a commercial or legal question.
